This RFP is issued by Telangana Fiber Grid Corporation Limited (T-FIBER) to the prospective bidders who shall be evaluated for appointment as the Third-Party Auditor (TPA) Agency for the roll out of T- FIBER project. This document has been prepared on the basis of available information with T-FIBER and other publicly available documents, which T-FIBER believes to be reliable. The sole objective of this document (the Request for Proposal or the RFP) is to solicit Technical and Financial bids from parties willing to participate in the process of Selection of Third Party Auditor (TPA) for T-FIBER project in the State of Telangana.

Telangana Fiber Grid Corporation Limited (T-FIBER), having its Registered Office at “D-Block, 3rd Floor, Room No. 423A, Telangana Secretariat, Hyderabad-500022” invites responses (“Proposals”/

“Bids”) to this Request for Proposal (“RFP”) from prospective bidders who shall be evaluated for appointment as the Third-Party Auditor (TPA) for the roll out of T-FIBER project.

Interested bidders are advised to study this document and RFP for selection of Master System Integrators for Telangana Fiber Grid Project (Tender Ref. No.: TSTS/CS/RFP-T-FIBER-MSI/2018) dated 20 March 2018 and its corrigendum(s), carefully before submitting their proposals in response.

Submission of proposal in response to this RFP shall be deemed to have been done after careful study and examination of these two documents with full understanding of their terms, conditions and implications.

Interested bidders may download the RFP from the website URL mentioned in the Fact Sheet. Any subsequent corrigenda/ clarifications shall also be made available on the website URL mentioned in the fact sheet.

Proposals must be received not later than time and date mentioned in the Fact Sheet. Proposals that are received after the deadline WILL NOT be considered in this procurement process.

To obtain first-hand information on the assignment, prospective bidders are encouraged to attend a pre-bid meeting.

3.1 About Telangana Fiber Grid Corporation Ltd. (T-FIBER)

T-FIBER is envisioned to establish a state-of-the-art network infrastructure to facilitate the realization of ‘Digital Telangana’ objective by piggybacking on Drinking Water Project Mission Bhagiratha. T- FIBER will provide Infrastructure for affordable and high-speed broadband connectivity and Digital services across “10 Zones (31 Districts), 585 Mandals, 12751 Gram Panchayats, 10,128 revenue villages/Habitations, 47+ lakh households”. Govt. of Telangana is one of the pioneers in promotion of ICT and e-Governance in India. The State Govt. also believes that Information Technology has changed the way we live and do business, and that Information Technology has huge potential in ensuring timely delivery of citizen services.

The Government of Telangana believes that the development in the field of Information and Communication Technology (ICT) can be effectively leveraged to deliver a variety of information and services to the citizens effectively and efficiently. Government of Telangana has decided to follow the ‘State Led Implementation Model’ for the layout of optical fiber in the state. The state had formulated T-FIBER SPV to provide broadband connectivity to every household in rural Telangana.

The vision and objectives for T-FIBER are articulated in consultation with key stakeholders of ITE&C department, Government of Telangana

To establish a state-of-the-art network infrastructure to serve as backbone for Digital Telangana.

To usher in digital democracy through affordable & reliable high-speed broadband connectivity to every household, government and private institution in Telangana.

Create a scalable, robust, resilient, secure and long-lasting digital infrastructure (to deliver various services, applications, content from govt. and service providers).

Provide high speed broadband connectivity to over 3.5 Cr. people and institutions in Telangana by connecting the 31 Districts (10 Zones), 585 Mandals, 12751 Gram Panchayats and 10,128 Villages.

Provision of bandwidth to various operators on non-discriminatory and non-monopolistic manner without entering into competition, except in delivery of G2C & G2G services.

T-FIBER piggy backs on the Mission Bhagiratha Project, which provides safe drinking water to every household through water pipelines, thereby achieving Right of Way (RoW) across the whole state. The network will be deployed along water supply routes which have been already mapped for the entire state.

3.2 About Telangana

Telangana has a Population of approx. 3.50 crore, consisting of 1.76 crore males and 1.74 crore females1. Almost 61 % of Telangana’s Population resides in rural areas, compared to 72% for India2. It is spread across 1,12,077 square kilometres of which approximately 27,292 square kilometres is covered under the forest i.e. 24.35% of the total geographical area is the forest area.3.

The low numbers for literacy, computer penetration without internet and computer penetration with internet in Telangana when compared to the national values indicates a need to improve IT infrastructure in the state of Telangana with emphasis on broadband connectivity. The improved broadband and internet connectivity may promote the usage of internet to digitally enable the people and digital connectivity of Telangana.

Government of Telangana is taking various steps for the development of the state including developing the human capital, improving the IT presence in the state and digitally connecting the state up to the household level.

The State Government has approved the ICT Policy of Telangana to enable proactive and congenial environment for IT industry to locate, grow and sustain in the state. This shall have a strong bearing on the economic development of the state as a whole, since IT establishment in the state shall have a domino effect on multiple economic activities including creation of employment for the youth, development of opportunities for IT export, increase in productivity through use of automation etc.

Further with ever increasing number of government services moving to cyber space and internet becoming the new medium of connectivity between citizens and government, requirement for a robust IT support eco-system has never been more strongly felt. The ICT policy emphasizes on

‘Digital Telangana’ programme wherein the Optical Fiber connection would be provided to each household.

The broadband and internet connectivity in the Telangana may boost:

Development of Telangana

Improve the access to healthcare via telemedicine Promote entrepreneurship

Improve employment options and reduce youth migration Promote inclusion and reduce the information barrier Connect with the citizens

Encourage digital connectivity among educational institutes and knowledge societies Strengthen accountability and transparency

Enhance the quality of living

Government of Telangana is taking big leaps to build and leverage the broadband infrastructure under BharatNet project. It is in this context that Telangana Government has initiated T-FIBER to provide broadband connectivity up to the household level and reap its benefits. The State Government has adopted, ‘State Led Implementation model of BharatNet project’ for roll-out of optic fiber infrastructure across the state. The State has also taken a decision to leverage the

Government of Telangana | T-FIBER 12 | P a g e infrastructure created under Mission Bhagiratha such as RoW, digging & trenching etc. The Optical Fiber Cables will be deployed along water pipeline routes which have been already mapped for the entire state.

3.3 Package wise details for T-FIBER Implementation

T-FIBER is deploying a massive network covering 10 Zones, 585 Mandals, 12751 GPs and 47+

Lakh households. The overall scope of work for MSI includes route survey, design & planning of network architecture, the OFC laying work (digging, trenching, OFC laying, splicing etc.), finalization of BoQ, procurement and supply of all active and passive equipment on the basis of approved BoQ, establishment of T-NOC & connectivity, installation, testing, commissioning, operations and maintenance of the end-to-end network infrastructure for a period of 7 years from the date of ‘Project Go-Live”.

In order to ensure timely completion of the project, T-FIBER has distributed the overall scope of implementation for MSIs in three packages.

o Package A o Package B o Package C

Packages have been formed on the basis of geographical distribution of Zones, Mandals and GPs. There shall only be one MSI for each package.

MSI of Package A shall establish T-NOC at Hyderabad for monitoring the entire network (Package-A, B & C) starting from T-NOC covering Zones, Mandals, GPs and Households.

All the resources for T-NOC operations shall be provisioned by the MSI of package A, but the MSIs of package B & C shall provision for sufficient liaising/coordinating persons at T-NOC, to assist with attending the corrective/preventive maintenance, with their respective field staff.

Broad scope of MSI for Package-A, B & C are as shown below:

2. Design, Supply, Installation, Testing, commissioning, Operations & Maintenance of end-to-end Infrastructure (DWDM, IP- MPLS, GPON, other active and passive components) from T-NOC to Households for Zones covered under Package-A, including DWDM in package-B & C, for the entire duration of the project.

Design, Supply, Installation, Testing, commissioning, Operations & Maintenance of end-to-end Infrastructure (IP-MPLS, GPON, other active and passive components including Provision of rack space, structured cabling and power for DWDM equipment) from T-NOC to Households for Zones covered under their respective packages for the entire duration of the Project. MSIs to facilitate and coordinate with MSI of Package – A, who is responsible for DWDM equipment.

The bidder must possess the requisite experience, strength and capability in providing the services necessary to meet the requirements as described in the RFP document.

The bidder must also possess the technical knowhow, qualified resources and tools that would be required to successfully execute the services for TPA but not limited to the following: -

• TPA shall do the Technical Scrutiny of survey reports on GIS map which includes checking and verification of design and Bill of Quantity (BoQ)

• TPA shall conduct inspection, verification & certification of the material delivered by MSIs and its mapping in PM tool.

• TPA shall inspect, verify and certify the execution of the project which shall include OFC laying, Equipment (including all active and passive infrastructure, radio, etc.) installation & integration and installation & integration of state NOC as mentioned in the detailed scope of work

• Quality and Quantity verification, at site for process of payment

• Validation of OFC survey (a minimum of 15% of the overall quantities)

• Validation of NOC, DWDM, IP MPLS & GPON network architecture, which may be optimized to some extent once the MSI is on-boarded.

• Validation of invoices submitted by MSI

• Validation of the project execution plan submitted by the MSI.

• All other functions as per the RASCI matrix mentioned in the RFP for selection of MSI for T- Fiber project.

• Conducting of Factory Acceptance Testing (FAT) for issuance of dispatch instructions, as and when directed by T-Fiber.

• TPA shall conduct Acceptance testing (AT) of Duct, Fibre, Equipment (including all active and passive infrastructure, radio, etc.) and state T-NOC;

• TPA shall carry out the Factory Acceptance Test (FAT), based upon the directions of the purchaser and the expenditure incurred shall be reimbursed on actuals.

• Template for FAT shall be finalized with the onboarded TPA after mutual discussion with purchaser

The invitation to proposal is open to all bidders who qualify the pre-qualification criteria as given below in addition to those empanelled / shortlisted by BBNL as TPA vendors (excluding TCIL as TCIL is one of the qualified bidders as MSI for the T-Fiber project) via Tender No.

BBNL/MM/2017/TPA for BharatNet Phase-II/006 issued on 23/12/2017.

1. The sole/lead bidder and the consortium members should be registered in India under the Companies Act, 1956 / 2013 / LLP Act 2008, as amended from time to time, and should be in operation for at least the last 10 years as on the date of bid submission.

a) Copy of valid Certificate of Incorporation (CoI) of sole/ lead bidder from Registrar of Companies.

In case of consortium, CoI of each of the consortium partners to be submitted

b) Copy of valid Corporate Identification Number (CIN) of sole/ lead bidder. In case of consortium, valid CIN of each of the consortium partners to be submitted

c) Copy of valid GST registration certificate of sole/ lead bidder. In case of consortium, valid GST registration certificate of each of the consortium partners to be submitted.

d) Copy of valid PAN of sole/ lead bidder. In case of consortium, valid PAN of each of the

consortium partners to be submitted.

2. The average annual turnover of the sole/lead Bidder in the last three audited financial years i.e. 2015-16, 2016-17 and 2017-18, should be at least INR 250 Crores.

1. All the participating entities of the T-Fiber MSI RFP, OEMs, sub-contractors and entities which assisted /supported MSI in their technical & commercial bid preparation are not eligible to participate in the bidding process for the TPA. T-Fiber reserves the right to reject such bids when found.

2. The pre-qualification is not applicable to BBNL empanelled TPA vendors shortlisted via Tender No. BBNL/MM/2017/TPA for BharatNet Phase-II/006 issued on 23/12/2017.

5. The sole/lead bidder or the consortium members should have completed at least one project comprising of 5000 km in last 5 (five) years involving Project Management / Third Party Audit/Acceptance Audit / Project Consulting/Project monitoring of OFC network as on bid submission date.

a) Completion Certificate from the client on the letter head of the client clearly mentioning the technology and the no. of nodes connected.

b) Work Order and phase completion Certificate from the client (Highlighting the Scope of Work/

services clearly)

6. The sole/lead bidder and the consortium members should not have been blacklisted by any central or state Govt. department or PSU on the date of bid submission.

consortium, each of the consortium partners to submit the certificated of non-blacklisting.

7. The sole/lead bidder or the consortium members should have at least 100 qualified personnel, out of which at least 50 should be Graduate Engineers, on its payroll in India having technical / managerial capability as on the date of submission.

Note: In case of consortium, lead bidder and the consortium partners are allowed to cater to the above requirement, cumulatively.

(c) IP-MPLS / DWDM Equipment

Installation and testing - 05 employees (d) Network Operations Centre and NMS,

EMS implementation - 05 Employees (e) Network Design - 05 Employees (f) OSS & BSS installation and testing – 02

3. The turnover and experience credentials should be of the same entity as the one bidding for the RFP.

4.1 Additional Documents

For an international project, if the original client certificate and other documents are in language other than English, then a translated copy duly verified by Indian embassy shall need to be submitted with the bid document.

For projects where fee has been received in any currency other than Indian Rupees, then the foreign currency conversion rate available on Reserve Bank of India’s portal as on the date of publication of the RFP document shall be used for conversion of amount in foreign currency to Indian Rupees equivalent.

Projects executed for bidder’s own or bidder’s group of companies shall not be considered.

4.2 Consortium Criteria:

In case of consortium, the Lead Bidder must be specified in the bid by furnishing the Consortium deed agreement as per Annexure 19 and Power of Attorney as per Annexure 20.

In case of a consortium, applicant consortia shall have a valid Consortium Agreement among all the members signed by the Authorized Signatories of the companies dated prior to the submission of the bid. The Consortium Agreement shall clearly state the composition of the consortium, Lead bidder, complete description of the partners and roles & responsibilities of the partners.

The consortium bid submitted without valid Consortium Agreement shall be treated as non-responsive.

In case of a consortium, the number of maximum members allowed should not exceed three (03), including the Lead bidder.

The Sole/Lead bidder and any of the consortium members shall not participate in more than one bid, in which event such bids shall be summarily rejected.

By submitting the Bid, the Bidder shall also be deemed to have acknowledged and agreed that in the event of a change in control of a Consortium Member or an Associate whose Technical Capacity and/ or Financial Capacity was taken into consideration for the purposes of short-listing and technically qualified under and in accordance with this RFP, the Bidder shall be deemed to have knowledge of the same and shall be required to inform the competent authority forthwith along with all relevant particulars about the same and the competent authority may, in its sole discretion, disqualify the Bidder or withdraw the work order from the TPA, as the case may be. In the event such change in control occurs after signing of the Agreement but prior to sign off of the project, it would, notwithstanding anything to the contrary contained in the Agreement, be deemed to be a breach of the Agreement, and the same shall be liable to be terminated without the competent authority being liable in any manner whatsoever to the Bidder. In such an event, notwithstanding anything to the contrary contained in the Agreement, the competent authority shall be entitled to

Government of Telangana | T-FIBER 18 | P a g e forfeit and appropriate Performance Bank Guarantee, as the case may be, as damages, without prejudice to any other right or remedy that may be available to the competent authority under the Bidding Documents and/ or the Agreement or otherwise.

The award of contract shall be signed with the sole /Lead Bidder only and the sole / Lead Bidder shall be single Point of Contact for this Project. PBG shall be submitted by the sole Lead Bidder.

The payments for the said project shall be released only in the name of Lead Bidder.

Lead Bidder and all the consortium members shall be jointly and severally liable to the Government for any failure during the execution of the project in accordance with the terms & conditions of the bid document and a statement of this effect shall be included in the MoU/ Consortium Agreement.

5.1 General

While every effort has been made to provide comprehensive and accurate background information, requirements and envisaged solution(s) specifications, Bidders must form their own conclusions about the solution(s) needed to meet the Purchaser requirements. Bidders and recipients of this RFP/Document may consult their own legal advisers in relation to this RFP.

All information supplied by Bidders as part of their bids in response to this RFP, shall be treated as contractually binding on the Bidders, till successful award of the assignment by the Purchaser on the basis of this RFP.

No commitment of any kind, contractual or otherwise shall exist unless and until a formal written contract has been executed by or on behalf of Purchaser. Any notification of preferred bidder status by Purchaser shall not give rise to any enforceable rights by the Bidder. Purchaser may cancel this public procurement at any time prior to a formal written contract being executed by or on behalf of Purchaser.

The Purchaser may, at its discretion, extend this deadline for submission of offers by issuing corrigendum and uploading the same on e-Procurement portal.

Telex, cable or facsimile offers will be rejected.

The bids must be complete in all respect and should cover the entire scope of work sole as stipulated in the RFP document. Any deviations shall result in rejection of the bid.

5.2 Compliant Bids/Completeness of Response

Bidders are advised to study all instructions, forms, terms, requirements and other information in the RFP documents carefully. Submission of the bid shall deemed to have been done after careful study and examination of the RFP document with full understanding of its implications.

Prior to evaluation of Bids, T-FIBER shall determine whether each Bid is responsive to the requirements of this RFP. A Bid shall be considered responsive if:

a. It is received as per the relevant format set out under this RFP.

b. it is received by the Bid Due Date and time including any extension thereof pursuant to the terms of this RFP;

c. it is accompanied by the EMD as specified in Clause 5.8: Earnest Money Deposit (EMD);

d. it is accompanied by the power(s) of attorney or board resolution as relevant to a Bidder as per the terms of this RFP;

e. it contains all the information (complete in all respects) as requested in this RFP and/or Bidding Documents (in formats same as those specified);

f. it does not contain any condition or qualification limiting or affecting the manner or substance of performance of obligations of the Bidder under this RFP, unless specifically required as per the terms of this RFP;

g. if a Bidder imposes conditions, which is in addition to or in conflict with the conditions mentioned herein, its Bid shall be liable to be summarily rejected.

h. It does not contain any suppression of information or facts as required to be furnished by the Bidder under this RFP or as may be relevant to be furnished by the Bidder in relation to the Project;

Government of Telangana | T-FIBER 20 | P a g e i. It does not comprise any incomplete information, subjective/ conditional/ contingent

/ partial offers;

j. is valid for a period of 180 (one hundred and eighty days); and k. It is not non-responsive as per any other terms of this RFP.

T-FIBER reserves the right to reject any Bid which is non-responsive and no request for alteration, modification, substitution or withdrawal shall be entertained by T-FIBER in respect of such Bid. Provided, however, that T-FIBER may, at its discretion, allow the Bidder to rectify any infirmities or omissions if the same do not constitute a material modification of the Bid, subject to its written approval and confirmation in this regard.

Failure to comply with the requirements of this paragraph may render the bid non- compliant and the Bid may be rejected. Bidder must:

a. Include all documentation specified in this RFP, in the bid

b. Follow the format of this RFP while developing the bid and respond to each element in the order as set out in this RFP

c. Comply with all requirements as set out within this RFP 5.3 Procedure for Submission of Bids

Bids (Technical bid & Commercial bid) shall be submitted online on website https://tender.telangana.gov.in/

The participating Bidders in the tender should register themselves on e-procurement portal.

The Bidders can login to e-procurement portal in secure mode only by signing through the Digital certificates.

The Bidders should scan and upload the respective documentary evidence as required part of the technical bid submission response.

The bidders shall sign on all the statements, documents, certificates uploaded by them, owning responsibility for their correctness/authenticity.

The rates should be filled online as per the commercial bid format (Annexure- 10:

Commercial Bid Format).

All the quoted price must be in Indian Rupees only.

5.4 Other Conditions of Bid Submission

After uploading the documents online, Bank Guarantee in original towards the EMD shall be submitted by the bidder in sealed envelope to the T-FIBER office as per date

& time mentioned in the fact sheet. The original EMD cover thus prepared should also clearly indicate the name, address, telephone number, E-mail ID and fax number of the Bidder to enable the Bid to be returned unopened in case it is declared "Late".

Failure to furnish original copy of Bank Guarantee in respect of EMD shall result in rejection of the bid. T-FIBER shall not be liable for postal delay. Similarly, if any of the certificates, documents, etc., uploaded by the Bidder online are found to be false/fabricated/bogus, the Bidder shall be disqualified, blacklisted and action shall be initiated as deemed fit and the EMD shall be forfeited.

T-FIBER shall not hold any risk and responsibility regarding non-clarity / non-legibility of the scanned and uploaded documents.

5.5 Bidder to Inform

The Bidder shall be deemed to have carefully examined the Terms & Conditions, Scope, Service Levels, Specifications, and Schedules of this RFP. If bidder has any doubts / clarifications as to the meaning of any portion of the conditions or the specifications he shall, before the last date for Submission of Pre-Bid Queries, set forth the particulars thereof and submit them to Purchaser in writing in order that such doubt may be removed or clarifications are provided.

5.6 Bid Preparation costs

The Bidder shall bear all costs associated with the preparation and submission of its bid, including cost of presentations etc. for the purposes of clarification of the bid, if so desired by the Purchaser, regardless of conduct or outcome of Bidding Process.

5.7 Pre-bid Meeting & Queries Clarification

Pre-Bid Meeting: A pre- bid meeting shall be organized by the purchaser as per the details specified in the Fact sheet. The bidders shall be required to submit their pre- bid queries to the purchaser in advance, in the specified format.

Bidders Queries

a. Any clarification regarding the RFP document and any other item related to this project can be submitted to Purchaser as per the submission mode and timelines mentioned in the Fact Sheet. The pre-bid queries should be submitted in a spread sheet format, (.xls) only along with name and details of the organisation submitting the queries on or before the last date as mentioned by the Purchaser in Clause 2:

b. Purchaser shall not be responsible for ensuring that the bidders’ queries have been received by it. Any requests for clarifications post the indicated date and time shall not be entertained by Purchaser.

c. Bidders must submit their queries as per the format mentioned in Annexure 1:

Request for Clarifications/Pre-bid queries. Any deviation/incomplete format shall be summarily rejected and shall not be taken into consideration.

Responses to Pre-Bid Queries and Issue of Corrigendum

a. T-FIBER at its sole discretion may provide response to the queries. However, T- FIBER makes no representation or warranty as to the completeness or accuracy of any response made in good faith, nor does T-FIBER undertake to answer all the queries that have been posed by the bidders.

b. At any time prior to the last date for receipt of bids, T-FIBER may, for any reason, whether at its own initiative or in response to a clarification requested by a prospective Bidder, modify the TENDER Document by a corrigendum.

c. The Corrigendum (if any) & clarifications to the queries from all bidders will be posted on the e-procurement portal https://tender.telangana.gov.in/

d. Any such corrigendum shall deemed to be incorporated into this tender.

e. In order to provide prospective bidders reasonable time for taking the corrigendum into account, T-FIBER may, at its discretion, extend the last date for the receipt of bids.

f. Verbal clarifications and information given by T-FIBER or its employees or representatives shall not in any way or manner be binding on T-FIBER.

Government of Telangana | T-FIBER 22 | P a g e 5.8 Earnest Money Deposit (EMD)

The sole/ lead bidder shall furnish, as part of its bid, an Earnest Money Deposit (EMD) of the amount mentioned in the Clause 2: Fact Sheet & Important Dates.

The EMD is required to protect the Purchaser against the risk of Bidder’s conduct which would warrant the security's forfeiture, pursuant to Scope of Work as mentioned in this RFP.

The EMD must be submitted in the form of Bank Guarantee of any Scheduled Commercial Bank/ Nationalized Bank drawn in favour of Telangana Fiber Grid Corporation Ltd payable at Hyderabad.

The EMD of unsuccessful bidders shall be discharged/ returned within 60 days of award of Contract to the successful Bidder.

The EMD of successful bidder shall be discharged / returned upon the bidder executing the Contract, pursuant to Clause 5.34: Award of Contract and furnishing the Bank Guarantee/Security Deposit, pursuant to Clause 5.34.3: Performance Bank Guarantee.

T-FIBER shall return the EMD of the successful bidder only after submission of the original PBG and signing of the contract.

T-FIBER shall be entitled to forfeit and appropriate the EMD as damages inter alia in any of the events specified in Clause 5.8.8 herein. The Bidder, by submitting its Bid pursuant to this RFP, shall be deemed to have acknowledged and confirmed that T- FIBER will suffer loss and Damages on account of withdrawal of its Bid or for any other default by the Bidder during the period of validity of the Bid as specified in this RFP. No relaxation of any kind on EMD shall be given to any Bidder.

The EMD shall be forfeited as Damages without prejudice to any other right or remedy that may be available to T-FIBER under the Bidding Documents and/ or under the Agreement, or otherwise, if:

5.8.8.1 Bidder submits a non-responsive Bid;

5.8.8.2 Bidder engages in a corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive practice as specified in Clause 5.32: Code Of Conduct of this RFP;

5.8.8.3 Bidder withdraws its Bid during the period of Bid validity as specified in this RFP and as extended by mutual consent of the respective Bidder(s) and T- FIBER; and

5.8.8.4 The Successful Bidder fails within the specified time limit:

a. to sign and return the duplicate copy of LOI; or b. to execute the Agreement; or

c. to furnish the PBG within the period prescribed therefore in the Agreement.

5.8.8.5 The Successful Bidder, having executed the Agreement, commits any breach thereof prior to furnishing the PBG.

No interest shall be paid by the Purchaser on the EMD The EMD shall be forfeited:

5.8.10.1 if a Bidder withdraws its bid during the period of bid validity specified by the Bidder in the Bid; or

5.8.10.2 in the case of a successful Bidder, if the Bidder fails;

Government of Telangana | T-FIBER 23 | P a g e a. to sign the Contract in accordance with Clause 5.34: Award of Contract; or b. to furnish Performance Bank Guarantee in accordance with 5.34.3:

c. Purchaser reserves the right to blacklist the bidder.

5.9 Bid Validity Period

Bids shall have validity period as mentioned in Clause 2: Fact Sheet & Important Dates after the date of opening of Technical Bid. A bid valid for a shorter period may be summarily rejected by the Purchaser as non-responsive.

Prior to the expiry of the validity of the period of validity of the bids, the Purchaser may request the Bidder(s) for an extension of the period of validity up to 180 days or more. The request and the responses thereto shall be made in writing (or through e- mail). The period of validity of their Bids shall require extension in the period of validity of EMD submitted by the bidders or submission of new EMD to cover the extended period of validity of their Bids. A Bidder whose EMD is not extended, or that has not submitted a new EMD, shall be considered to have refused the request to extend the period of validity of its Bid.

5.10 Format and Signing of Bid

The original documents of the bid shall be typed or written in indelible ink. The original shall be signed by the Bidder or a person or persons duly authorized to bind the Bidder to the Contract. All pages of the bid, except for un-amended printed literature, shall be initialled and stamped by the person(s) persons signing the bid.

The response to the bid should be submitted along with legible, appropriately indexed, duly filled Information sheets and sufficient documentary evidence as per Checklist.

Responses with illegible, incomplete Information sheets or insufficient documentary evidence shall be rejected.

The bid shall contain no interlineations, erasures or overwriting except as necessary to correct errors made by the Bidder, in which case such corrections shall be initialled by the person(s) signing the bid.

The Bidder shall duly sign and seal its bid with the exact name of the firm/company to whom the contract is to be issued.

5.11 Revelation of Prices

Prices in any form or by any reason before opening the Commercial Bid should not be revealed, failing which the offer shall be liable to be rejected.

5.12 Terms and Conditions of Bidders

Any terms and conditions of the Bidders shall not be considered as forming part of their Bids.

5.13 Consortium

Consortium is allowed upto a maximum of 3 members (including Lead Bidder). In case of consortium, though the work experience and technical expertise shall be considered cumulatively for all the consortium partners, the financial statements/

figures to be considered only of the lead bidder.

5.14 Local Conditions

It shall be incumbent upon each Bidder to fully acquaint himself with the local conditions and other relevant factors at the proposed site which would have any effect on the performance of the contract and / or the cost.

Government of Telangana | T-FIBER 24 | P a g e The Bidder is expected to make a site visit to obtain for himself on his own

responsibility, all information that may be necessary for preparing the bid and entering into contract. Obtaining such information shall be at Bidder’s own cost.

Failure to obtain the information necessary for preparing the bids and/or failure to perform the activities that may be necessary for the providing services before entering into contract shall in no way relieve the TPA from performing any work in accordance with the RFP.

It shall be imperative for each Bidder to fully inform themselves of all legal conditions and factors which may have any effect on the execution of the contract as described in the bidding documents.

It is the responsibility of the Bidder that such factors have properly been investigated and considered while submitting the bid proposals and that no claim whatsoever including those for financial adjustment to the contract awarded under the bidding documents shall be entertained by the Purchaser and that neither any change in the time schedule of the contract nor any financial adjustments arising thereof shall be permitted by the Purchaser on account of failure of the Bidder to appraise themselves of local laws and site conditions.

It shall be deemed that by submitting a Bid, the Bidder has:

a. made a complete and careful examination of the Bidding Documents;

b. received all relevant information requested from T-FIBER;

c. accepted the risk of inadequacy, error or mistake in the information provided in the Bidding Documents or furnished by or on behalf of T-FIBER relating to any of the matters.

5.15 Contacting the Purchaser

No Bidder shall contact the Purchaser on any matter relating to its bid, from the time of the bid submission to the time the Contract is awarded.

Any effort by a Bidder to influence the Purchaser’s bid evaluation, bid comparison or Contract award decisions may result in the rejection of the Bidder’s bid.

5.16 Purchaser's Right to Vary Scope of Contract

The Purchaser may at any time, by a written order given to the Bidder, make changes to the scope of the Contract as specified. The schedule and cost, resulting from such change shall be accordingly accounted for, within the original scope.

5.17 Purchaser's Right to Accept Any Bid & to Reject Any or All Bids

Purchaser reserves the right to reject in full or part, any or all bids without assigning any reason thereof. Purchaser reserves the right to assess the Bidder’s capabilities and capacity. The decision of Purchaser shall be final and binding.

Bid should be free of over writing. All erasures, correction or addition must be clearly written both in words and figures and attested.

In the event of any assumptions, presumptions, key points of discussion, recommendation or any points of similar nature submitted along with the Bid, Purchaser reserves the right to reject the Bid and forfeit the EMD.

Further, in the event that the RFP has been terminated on account of any default of the Bidder/Successful Bidder, T-FIBER reserves the right to encash the EMD and/or PBG to the extent required to make good the losses suffered by it on account of such default having been committed by the Bidder.

Government of Telangana | T-FIBER 25 | P a g e If there is any discrepancy in the commercial bid, it will be dealt as per the following:

5.17.5.1 If in the price structure quoted for the required services/works, there is discrepancy between the unit price and total price (which is obtained by multiplying the unit price by the quantity), the unit price shall prevail and the total price corrected accordingly.

5.17.5.2 If there is an error in a total corresponding to the addition or subtraction of subtotals, the subtotals shall prevail and the total shall be corrected.

5.17.5.3 If there is a discrepancy between words and figures, the amount in words shall prevail.

5.17.5.4 If there is such discrepancy in an offer, the same shall be conveyed to the bidder with target date up to which the bidder has to send his acceptance on the above lines and if the bidder does not agree to the decision of Purchaser, the bid is liable to be disqualified.

5.18 Language of Bids

The bid should be prepared and submitted by the bidders in English language only.

If any submitted supporting documents are in any language other than English, translation of the same in English language is to be provided (duly attested) by the Bidders. For purposes of interpretation of the documents, the English translation shall govern.

5.19 Authentication of Bids

An authorized representative (or representatives) of the Bidder shall initial all pages of the Technical and Commercial Bids.

Bid should be accompanied by an authorization in the name of the signatory (or signatories) of the Bid. The authorization shall be in the form of a written power of attorney accompanying the Bid or in any other form demonstrating that the representative has been duly authorized to sign.

5.20 Amendment of Request for Proposal

At any time prior to the due date for submission of bid, Purchaser may, for any reason, whether at its own initiative or in response to a clarification requested by prospective bidder(s), modify the RFP document by amendments. Such amendments shall be uploaded on the e-procurement portal website, through corrigendum and shall form an integral part of RFP document. The relevant clauses of the RFP document shall be treated as amended accordingly.

It shall be the responsibility of the prospective bidder(s) to check the e-procurement portal website from time to time for any amendment in the RFP document. In case of failure to get the amendments, if any, Purchaser shall not be responsible.

In order to allow prospective bidders a reasonable time to take the amendment into account in preparing their bids, Purchaser, at its discretion, may extend the deadline for submission of bids. Such extensions shall be uploaded on the e-Procurement website.

5.21 Procedure for Submission of Bids

The bid prepared by the Bidder shall comprise of the following (to be uploaded at e-procurement portal as individual files):

5.21.1.1 As part of the prequalification bid document, the bidder shall submit all the documentary evidence mentioned in table under clause 4- Pre-qualification criteria.

Technical Bid

5.21.2.1 File – I: shall comprise of all the documents (in PDF format):

a. Scanned copy of EMD in the form of ‘Refundable & Irrevocable Bank Guarantee.

b. Documents mentioned in Clause 5.20.2: Technical Bid.

5.21.2.2 Bidder shall upload these documents on or before the last date of bid submission as mentioned in Clause 2: Fact Sheet & Important Dates.

5.21.2.3 Bidder shall submit original copy of EMD in the form of Refundable & Irrevocable Bank Guarantee’, on or before the last date of bid submission as mentioned in Clause 2:

Fact Sheet & Important Dates. The address of, name and address of the bidder and the Tender Reference Number shall be marked on the envelope. The envelope shall also be marked with a sentence “NOT TO BE OPENED BEFORE the Date and Time of Bid Opening”. If the envelope is not marked as specified above, T-FIBER shall not assume any responsibility for its misplacement, pre-mature opening etc.

Commercial Bid

5.21.3.1 File - II shall comprise of all the documents (in PDF format) mentioned in Clause 5.21.2.1 and uploaded on the e-procurement portal (https://tender.telangana.gov.in).

5.21.3.2 All prices under the Commercial Bid should be in Indian National Rupee (INR) and should comply with all the rules and regulation of RBI, and the relevant Government instrumentality at their own cost. In the event of any discrepancy between the Commercial Bid quoted in words and in figures, words shall prevail.

5.21.3.3 T-FIBER , in accordance with the terms of this RFP, declare the Bidder quoting the lowest Price Bid as the lowest bidder (“L1 Bidder”). The price quoted by the bidder shall include all the relevant charges, including but not limited to, hiring costs &

insurance of the personnel, cost of the tools/equipment required to dispose off the responsibilities, vehicles etc. but excluding GST and its associated cess ( if any) as per the commercial format shall be considered for deciding the L1 price. However, any erroneous indication of applicable taxes, levies shall be the sole responsibility of the bidder. Any upward/downward revision of applicable taxes/levies shall be applicable at the time of invoicing.

5.21.3.4 In the event of any difference between figures and words, the amount indicated in words in the Price Bid shall be taken into account.

Note: Prices should not be indicated/ mentioned in the Technical Bid but should only be mentioned in the Commercial Bid. Not adhering to this clause, shall lead to outright rejection of the bidder’s bid.

5.21.3.5 The Bidder shall submit only one (1) bid in response to the RFP. If the Bidder submits more than one bid, it shall lead to disqualification of bidder and shall also cause the rejection of all the bids which such Bidder has submitted.

5.22 Bid Price

The Bidder shall indicate in the format prescribed, the unit rates and total Bid Price of the services, it proposes to provide under the Contract. Prices shall be filled online as per template provided on e-procurement portal (minimal BOM and relative calculations are in Annexure-10: Commercial Bid Format).
